Terms of service

These terms are an agreement between HeySheep Technologies Pte Ltd (UEN 202611374C, 10 Anson Road, #33-03 International Plaza, Singapore 079903) (“HeySheep”, “we”) and the organisation that signs up for HeyPing (“you”). By creating an account you confirm you can agree to them on behalf of your organisation.

1. The service

HeyPing is software for sending and receiving WhatsApp messages through Meta's WhatsApp Cloud API, and for managing customers, consent, templates and campaigns. HeySheep provides HeyPing as a Meta Tech Provider. HeyPing is organised into workspaces inside your organisation.

2. Your WhatsApp account and Meta

• You connect your own WhatsApp Business account through Meta. The account and phone number remain yours.
• You must accept and follow Meta's terms and policies, including the WhatsApp Business Messaging Policy and Commerce Policy. Meta may limit or suspend your account under those policies.
• Meta bills WhatsApp message charges directly to you through the payment method you set up with Meta. HeySheep does not resell or mark up Meta's charges.

3. Plans and billing

• HeyPing is billed monthly per workspace: Starter S$60 a month for 1 workspace, and Growth S$109 a month for 2 workspaces. Three or more workspaces are on a Custom plan agreed in writing.
• New businesses get their first month free. To start, you add a card, Apple Pay or Google Pay. Nothing is charged during the free month; when it ends, your plan starts and renews monthly on that payment method unless you cancel before the free month ends. One free month per business.
• Subscriptions renew automatically each month until cancelled. Adding or removing workspaces changes your plan, prorated by our payment provider, Stripe.
• You can cancel anytime. Cancellation takes effect at the end of the paid month, and fees already paid are not refunded unless the law requires it.
• If payment fails, we may pause sending until it is resolved.
• Prices are in Singapore dollars and exclude GST. HeySheep Technologies Pte Ltd is GST-registered (GST Reg. No. 202611374C), so GST at the prevailing rate (currently 9%) is added and shown on your tax invoice. We will give you at least 30 days' notice of any price change.

4. Acceptable use

You agree to:

• message only people who have agreed to hear from you, keep a record of that consent, and honour opt-outs straight away;
• follow Singapore law, including the PDPA and the Do Not Call provisions, and the laws of any country you message;
• not send spam, illegal or misleading content, or messages about products Meta's policies forbid;
• keep your team's logins and API keys secure, and tell us promptly about any unauthorised use.

We may suspend a workspace that breaches these rules or puts other customers or HeySheep's standing with Meta at risk. Where we can, we will warn you first.

5. Your data

You own your workspace data. We process it only to provide HeyPing and as described in our privacy policy, acting as your data intermediary under the PDPA. Workspace data is stored in Google Cloud's Singapore region. You can export your data while your account is active.

6. Availability

We run HeyPing on Google Cloud and aim for 99.95% monthly availability. This is a target, not a guarantee. Planned maintenance and problems outside our control, including outages at Meta, Google or Stripe, may affect the service.

7. Liability

HeyPing is provided “as is” to the extent the law allows. Our total liability for any claim is limited to the fees you paid HeySheep in the three months before the claim. We are not liable for indirect losses, or for Meta's decisions about your WhatsApp account, templates or messages.

8. Changes and ending

We may update these terms and will tell you about material changes at least 30 days ahead. Either side may end the agreement by cancelling the subscription. After your account closes, we delete workspace data within a reasonable period, except records we must keep by law.

9. Law

These terms are governed by the laws of Singapore, and the courts of Singapore have jurisdiction.
